1. Acceptance of Terms

By using the Utilify website (utilify.io), MCP server, or API (the "Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Utilify is a utility setup service that helps users find, compare, and sign up for utility providers (electricity, internet, gas, water, trash, and home services) at a given US address. The Service is available through AI agent integrations (MCP server) and a REST API.

3. Free Service

Utilify is free for consumers. We earn revenue through affiliate commissions and referral fees from service providers when users sign up through our tracked links. You are never charged by Utilify.

4. Affiliate Disclosure

Utilify has affiliate relationships with utility and service providers. When you sign up for a provider through a link provided by Utilify, we may earn a commission. This is disclosed in every response that contains affiliate links. Our recommendations consider fit, quality, and value — not solely commission rates.

5. No Guarantee of Availability or Accuracy

While we strive to keep provider information accurate and up to date:

• Provider plans, pricing, and availability change frequently and may not reflect the most current information
• Coverage at a specific address may differ from ZIP-code-level estimates
• Utilify does not guarantee that any provider will accept your enrollment
• Final pricing, terms, and conditions are determined by the provider, not by Utilify

6. Third-Party Providers

When you click a signup link, you leave the Utilify Service and interact directly with the provider's website. Utilify is not responsible for:

• The provider's terms of service, privacy practices, or data handling
• The quality of service delivered by the provider
• Billing disputes, service outages, or contract issues with the provider
• Any information you provide directly to the provider

7. User Responsibilities

You agree to:

• Provide accurate address and contact information
• Use the Service only for your own utility setup needs (not for bulk data collection, scraping, or competitive intelligence)
• Not attempt to manipulate, reverse-engineer, or abuse the Service
• Not use the Service to set up utilities at an address you do not have the legal right to occupy

8. API Usage

If you access Utilify via the REST API:

• Free API access is provided for reasonable, non-commercial use
• Commercial use and high-volume access require a paid API subscription
• We reserve the right to rate-limit or suspend API access for abuse
• API responses may not be cached, resold, or redistributed without written permission

9. Intellectual Property

The Utilify name, logo, website content, API design, and MCP tool definitions are the property of Utilify. Provider names, logos, and trademarks belong to their respective owners.

10. Limitation of Liability

Utilify is provided "as is" without warranty of any kind. To the maximum extent permitted by law, Utilify shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to incorrect provider information, failed signups, or service disruptions.

11. Indemnification

You agree to indemnify and hold Utilify harmless from any claims, damages, or expenses arising from your use of the Service or your violation of these Terms.

12. Modifications

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
